EVENT DOCUMENTS · VERSION 2.3

Participation Terms

The programme, judging, prizes and permissions for Pitch Gauntlet: Madrid Edition.

Contents

Document version: 2.3 · 16 October 2026. These Terms apply when published on the Event application page and accepted by the Representative. They do not apply retroactively to submissions made under a different notice. Version 2.3 extends the application period to 28 October 2026 and replaces the fixed report date with a 24-hour report window; applications made under version 2.2 keep that version. Event: Pitch Gauntlet: Madrid Edition, 29 October 2026 at 15:00 Europe/Madrid (14:00 UTC) during MERGE Madrid. MERGE is a timing reference; this event is not represented as an official MERGE competition. Event operator: Individual Entrepreneur Yaroslav Volovyi, registered in Georgia, identification number 305676649, registered address Gotua Street N26, Floor 10, Flat N37, Saburtalo District, Tbilisi, Georgia, operating as EvalLens (Operator). Contact: legal@evallens.io.
Promotional and prize partner: Yellow. For the permissions to use materials in these Terms, the named Yellow recipient is Yellow Global Limited, identified as an operator in Yellow Capital's published Privacy Policy. That public website identification does not establish that it is the legal provider of the market-making prize. Coordination: Pedro (Yellow), pedro@yellow.com, Telegram @Pedro_Yellow. General enquiries: Yellow Capital contact form. The legal service provider is identified in the prize schedule and service agreement; this coordination contact is not a designation of that provider.

1. Scope and acceptance

These Participation Terms govern a project's application to, review for, and participation in Pitch Gauntlet: Madrid Edition (the Event). The person submitting an application (Representative) acts for the project (Team), is at least 18 years old and confirms authority to accept these Terms and provide the submitted materials on the Team's behalf.

The application must identify the contracting participant: the project's legal entity, or, for an unincorporated project, the adult founder applying in a professional capacity. A project name alone does not identify the contracting party. The Representative's authority to submit company materials does not by itself authorize consent for another person's image, voice or marketing subscriptions. Each speaker must confirm the live recording permission for their own contribution before appearing. Mandatory rights remain applicable regardless of a business/professional declaration.

The Representative accepts these Terms by checking the unchecked acceptance box and submitting the application while signed in with a Google account. The Operator records the version accepted, time, account identifier and application identifier and makes a copy of the Terms available for download. An application is not complete until this acceptance is recorded. The Operator's Terms of Service and Privacy Policy also apply to use of the platform; where these Participation Terms specifically address the Event, they control the Event mechanics. Nothing here removes rights that applicable law gives the Representative or Team.

EvalLens is the contracting operator for applications, platform access, review, admission, competition administration and the online programme. Yellow is the promotional and market-making prize partner; R2Copilot is the AI-usage prize partner. Each prize is supplied by its separately identified provider, not by EvalLens. The villa gathering is a separate local-host arrangement coordinated through Pedro; EvalLens does not organize or operate the physical venue, accommodation, catering, on-site security or guest admission. Use of brands together does not itself create an agency, joint venture or general guarantee of another party's performance. These allocations do not override responsibility imposed by law for a party's actual conduct or role.

2. The programme and what the Team receives

Applications open on 4 October 2026 and close on 28 October 2026, 23:59 Europe/Madrid. There is no numerical cap on incoming applications. The Operator validates and prepares first-pass assessments as applications arrive, and selection runs on a rolling basis until applications close. Each Team with a valid application received by that time is entitled to one private baseline AI-assisted report and its selection outcome, scheduled within 24 hours of the valid application, subject to the technical-disruption procedure below. The report identifies strengths, weak or unsupported areas, and questions for preparation. It is not a human due-diligence engagement, verification of every claim or a commitment to unlimited revisions. The Operator may offer correction of missing fields or inaccessible files until the deadline.

The organizers select up to ten Teams for the improvement round and live pitches under section 4. A valid application does not guarantee a live place, award, funding, investor introduction, attendance at another event or commercial service. Selected Teams may submit a revised deck and must confirm a speaker and complete the technical check by the deadlines communicated to them. If a selected Team withdraws or misses a required preparation step, the next eligible and available reserve Team is invited in first-pass order under section 4; a bypass and its reason are recorded.

The event is planned as an online-first hybrid broadcast, with a separately hosted Madrid villa gathering coordinated through Pedro. A Team may pitch remotely; applying or receiving a live slot does not book accommodation, grant villa admission or require physical attendance. The local host's legal identity, contact and applicable admission, venue, safety and recording information must be supplied by that host before any on-site booking or attendance. Pedro is a coordination contact, not by that fact the personally contracting venue operator. The live show starts on 29 October 2026 at 15:00 Europe/Madrid (14:00 UTC); joining instructions will be notified separately. Each live Team has three uninterrupted minutes to pitch and up to five minutes of shared Q&A.

Participation and the report are free to the Team. The Team pays its own travel, connectivity, equipment and other optional participation costs unless the organizers separately agree otherwise.

2.1 Technical availability and disrupted delivery

The free platform, AI analysis and broadcast are provided on an "as available" basis, without a contractual guarantee of uninterrupted availability, error-free outputs, compatibility with every device or successful delivery through every third-party network. Authentication, upload, email, inference, scoring or streaming failures may delay or prevent the affected operation. The Team should retain its own submission and check for an actual receipt; a failed upload or unsaved form is not a completed application.

For an accepted application affected by a material technical failure, the Operator will notify the Team without undue delay once the effect is known, explain the affected step and provide a revised timetable or recovery instructions where reasonably possible. It may pause the affected step, retry processing, request resubmission or reschedule. A failure attributable to the Event system is not itself a negative project assessment or a reason to award zero points. Any recovery window must apply consistently to similarly affected Teams. There is no obligation to replace unavailable automated analysis with a bespoke human due-diligence service. This clause does not silently extinguish an accepted Team's report entitlement; an inability to recover requires an express notice and handling under section 9 and applicable law. To the fullest extent permitted by law and subject to section 10.6, technical unavailability, delay or an output error does not itself entitle the Team to damages, an award, a live slot or reimbursement of voluntary costs.

3. Application eligibility and materials

A valid application contains a project name, short description and stage; the Representative's name, business email and role; a working project website or, where there is no full website, a product, repository or official project profile link; an accessible English-language PDF deck; a Web3 focus; and an existing product, prototype or another verifiable working artefact. The Representative confirms the right to submit the materials for analysis and, if selected, appoint a speaker. Early stage, no revenue or a weak deck alone do not make an application invalid.

The Team is responsible for the accuracy of its statements, the safety and legality of its materials, and the rights of any co-founders, employees, photographers, designers, customers or other people whose work or personal information appears in them. It must not submit confidential third-party information, unlawful material or content designed to manipulate the evaluation system. The Operator may request corrections or exclude material that cannot be evaluated or used lawfully.

Public-use submission notice: the deck submitted for this Event is submitted for public use by EvalLens and Yellow Global Limited under section 6, whether or not the Team is selected for a live pitch. This includes publication of the whole deck or excerpts, Event coverage, presentations and promotional material. Remove confidential information, credentials and unnecessary personal data before upload. The Team confirms its authority to license the project content; permission concerning another individual's personal data, image or testimonial is not inferred from that confirmation. Where the required personal permission or another lawful basis is absent, that information must be omitted or redacted before public use.

For a live Team, the latest accepted replacement submitted during the improvement round is used on air, or the original submission if no replacement is accepted. No separate public-deck upload is required. A replacement supersedes the earlier version for new publication; copies already lawfully published may remain in the archive within section 6. Private analytical reports and form contact fields do not become public merely because the deck can be published. Earlier submissions collected under a private-only notice require new authorization before these public uses.

3.1 Publication review and rights complaints

Permission to publish is not a requirement to publish every upload automatically. Before a controlled publication, the Operator or relevant publisher reviews the material for apparent confidential information, unnecessary personal data and obvious rights issues, and may ask for a corrected or redacted version. This is a reasonable screening step, not a guarantee of comprehensive clearance or an assumption of the Team's rights obligations.

A rights complaint may be sent to legal@evallens.io (or privacy@evallens.io for personal data), identifying the material, location and basis of the complaint. The relevant publisher may temporarily hide disputed material, preserve limited evidence and request a response or correction. Action is taken in accordance with the applicable rights and notice-handling requirements, without presuming that an allegation is established. This process does not restrict urgent relief or statutory complaints.

4. Review, selection and scoring

EvalLens uses automated tools to read the deck and prepare an advisory report and a first-pass internal assessment. The first-pass order is a selection and reserve-management tool, not the final competition ranking. Human organizers review eligibility, apparent assessment errors and the proposed invitations before deciding admission; an automated recommendation alone does not determine admission.

The first-pass rubric covers four equally weighted 1–10 criteria: problem and customer; solution and product evidence; market and go-to-market; and traction, team and feasibility. It does not score a live performance that has not occurred. Its mean determines the initial order. Ties are resolved by the higher solution-and-product-evidence score, then traction/team/feasibility score, then the time of the complete application. Teams are invited in that order, subject to eligibility and timely acceptance of the stated preparation requirements. A reserve is bypassed only for withdrawal, failure to respond by a reasonable communicated deadline, inability to participate or complete preparation, or a documented eligibility, rights or integrity issue. A bypass is recorded and the affected Team is informed of the reason, subject to lawful restrictions.

The Operator records the input version, rubric and AI configuration used, assessment corrections, selection and reserve decisions, human review and conflicts. Comparability requires consistent first-pass settings; a material configuration change requires reassessment of the affected batch before selection. The advisory report and AI assessment can contain errors, do not verify every external claim and are not investment, legal or financial advice.

Before the final, judges may receive a judge pack containing the first and revised decks, report and questions. They do not enter official numerical scores before the live pitch. After each pitch and Q&A, the talking AI Unicorn assigns one score and each eligible human judge assigns one independent score using the published 1–10 rubric. The five equally weighted criteria are: problem and customer; solution and product evidence; market and go-to-market; traction, team and feasibility; and live clarity and Q&A. Each scorer's total is the average of those five criteria. The final result is the simple average of all valid Unicorn and human judge totals. EvalLens adds no organizer score. A judge with a disclosed conflict of interest does not score the affected Team; a sponsor-nominated judge has no additional weight. Where final averages are tied, the higher human-judge-only average ranks first; if still tied, the jury chair applies the rubric and records the deciding reason. An unconflicted deputy acts where the chair has a conflict. The chair, deputy, judges and any reserve judge must be named before live pitches begin.

The AI Unicorn is clearly identified as an AI presenter and scorer before or at the first interaction, including in the broadcast; it is not presented as an independent human expert. Its comments may be incomplete or mistaken and are not verified factual findings or an endorsement by EvalLens, Yellow, R2Copilot or a judge. Human moderation can interrupt, withhold or correct unsafe commentary. Commentary should address the submitted evidence and project, not make unsupported accusations of fraud or personal attacks. A reported factual or rights issue can be sent to legal@evallens.io for review; this is distinct from disagreement with a competition opinion. Moderation does not permit covert alteration of numerical scores outside the published scoring and correction rules.

The talking Unicorn hosts the show and may ask questions within the five-minute Q&A. It does not interrupt the three-minute pitch. The organizers may correct a clerical or technical scoring error before announcing verified results and will document such a correction. They do not guarantee any particular score, place or investor response.

The panel comprises five to six human judges. At least four valid human scores are required per Team. If disclosed conflicts leave fewer than four eligible panel members, a pre-appointed unconflicted reserve must review the same materials and full pitch/Q&A recording; the threshold is not lowered. All eligible panel scores count, with no selective exclusion of an unfavorable score. A reserve replaces a named unavailable or conflicted judge and does not add a second score for that seat.

After a Team's pitch and Q&A, each judge may submit an initial score and either leave it unchanged or revise it at their discretion until the common final scoring lock. There is no ninety-second revision limit and no duty to revise a score. The chair announces the common lock time to all judges before the first pitch; it must be after all pitches and before results are calculated and announced. Any operational extension is communicated to the entire panel before the existing lock and applies equally. Judges must submit their scores by the lock; other judges' scores and the aggregate leaderboard remain hidden from them until then. After the lock, only the documented error/correction procedure applies. Results use full precision, not rounded display values. A documented technical failure may require a delayed assessment from the original materials and recording; the reviewer must not see the leaderboard or other judges' scores first. Results are not verified until every Team meets the human quorum.

If AI scoring fails, the Operator may retry using the locked inputs and the same scoring configuration within twenty-four hours. If comparable AI scores still cannot be produced for every Team, the fallback is the human-judge-only average for ALL Teams, with the change publicly disclosed. Missing scores are never treated as zero or invented. No AI-only award is permitted.

Announced results remain subject to correction for forty-eight hours. Teams may report an arithmetic, transcription, technical or undisclosed-conflict issue to legal@evallens.io within that period. An unconflicted chair or deputy reviews the underlying records with the Operator and answers within five business days. Disagreement with an honest subjective assessment is not itself grounds for rescoring. Corrections and their reasons are recorded and communicated to affected Teams. Prize confirmation waits until the window closes and any outcome-changing issue is resolved; mandatory legal rights are unaffected.

Biggest Climb is separate from the main ranking. Eligible human judges compare the original and revised materials against three equally weighted 1–10 criteria: improvement in clarity, resolution of evidence gaps, and response to the review's substantive questions. The award uses the mean of valid human totals, with the same quorum/conflict rules. A tie is resolved by the unconflicted chair with a recorded explanation. It is not calculated by subtracting two potentially non-comparable AI scores.

The Operator maintains a restricted record of scorer identity, eligibility/conflicts, input version, submitted scores and changes, common lock, calculation and corrections sufficient to explain the result. These records are not a public contact list and follow the retention rules in section 8.

5. Awards

Provider responsibility. Yellow's identified service provider is responsible for the market-making award; R2Copilot's identified service provider is responsible for the AI-usage award. Each provider is responsible for its award's onboarding, activation, technical service and delivery under the disclosed prize schedule and its agreement. EvalLens administers the competition and coordinates the verified result and redemption request; it is not the prize-service provider, a guarantor, an insurer or a substitute payer. Subject to mandatory law and its own express undertakings, EvalLens does not owe the provider's service, replacement tokens, trading capital, a cash substitute or damages solely because that provider defaults. This allocation does not cancel a winner's claim against the provider or excuse an inaccurate representation or separate undertaking legally attributable to EvalLens. A third party is not bound merely by being named here: its commitment must be recorded in the provider-approved prize schedule.

First, second and third place in the main competition each receive thirty days of Yellow market-making service without a service fee, with activation according to the arrangements agreed with Yellow and the published prize schedule. The first-place Team may be named Jury Winner. Biggest Climb and Yellow Pick are separate awards and do not themselves carry the market-making package unless a Team also places in the top three. No prize may be exchanged for cash unless the published prize schedule expressly permits it.

The prize schedule forms part of these Terms and is made available on the Event page before applications are accepted. It identifies the legal service provider, scope, eligible trading pairs and venues, required trading capital or inventory, external fees, onboarding criteria and activation process, including treatment of a winner without a launched token. Waiver of the service fee does not mean that Yellow supplies trading capital or pays external expenses unless expressly stated in the schedule. The start date is agreed with Yellow; these Terms impose no separate six-month activation deadline. No token-price, trading-profit, liquidity-level or exchange-listing guarantee is given. The arrangements must not introduce undisclosed conditions that remove an earned prize.

5.1 R2Copilot AI-token award

Each of the five highest-ranked Teams in the verified final live competition receives 100,000,000 AI usage tokens per month for six months through R2Copilot, without a charge for the awarded allocation. The allocation is per winning project, not per person or seat: six monthly allocations total 600,000,000 tokens per project, not an upfront balance. These are AI service-usage tokens, not investment assets. This award is separate from Yellow's top-three market-making prize.

To receive this R2Copilot prize, the recipient must have a registered legal entity, its own company website and an email address on that website's domain. These are prize-specific conditions; they do not change application eligibility or the entitlement to a private report. The verified final live ranking, not the prescreen assessment, determines the five places. Optional marketing or introduction choices do not affect ranking or eligibility.

EvalLens coordinates redemption after the results are verified. The provider's legal identity, applicable service terms, privacy notice, activation process and required evidence are disclosed before onboarding or transfer of winner information. Only the company identity, website, company-domain contact and verified award status needed for redemption are proposed for transfer; no private deck or analytical report is included by default. Event entry neither creates an R2Copilot account nor subscribes the winner to marketing.

The partner schedule specifies the activation and monthly-reset process, token-counting rules, eligible models, account/seat scope and treatment of unused allocations or an ineligible winner. This award does not imply rollover, unlimited models, automatic reassignment to sixth place or a cash substitute. A paid upgrade, excess usage or renewal requires a separate agreement; no automatic paid renewal is authorized by Event participation.

6. Ownership and permissions to use materials

The Team retains ownership of its materials. It grants EvalLens and Yellow Global Limited a non-exclusive, worldwide, royalty-free permission to host, copy, format, analyse and display its submitted deck, project name and logo, and to publish the deck in whole or in excerpts in Event coverage, websites, social media, presentations, press releases, case studies and marketing materials relating to this edition and the partners' work demonstrated by it. This permission starts with informed submission under these Terms, not only with selection for the live programme. Publication is permitted, not guaranteed; the Team does not receive a publication fee. The materials may not be sold as a standalone product or used for model training under this participation/publication permission. Optional training and commercial model use by EvalLens require the separate grant in section 6.1; no independent training right is granted to Yellow or another provider.

For live participation, this also covers the designated submitted deck, pitch and Q&A. Each speaker separately confirms permission for their own image, voice and recorded contribution. A Team representative does not automatically authorize another person's image, voice or endorsement. A content licence is not a substitute for an applicable lawful basis for processing personal data. Material for which necessary rights are absent must be excluded or redacted.

EvalLens and Yellow Global Limited may use feedback expressly supplied for publication as testimonials, and separately approved findings or report excerpts as project case studies, Event reports, presentations and promotional materials. The identifiable author personally grants the testimonial permission described in section 7. Shortening, formatting and faithful translation are permitted; fabrication, material distortion or implying an endorsement the author did not give are not. Private support correspondence is not automatically a testimonial. An analytical report remains private except for the precise material approved for public use; approval of an excerpt does not authorize publication of the full report.

For the common permission period, the programme closes on 31 October 2026. New publication, distribution and promotional reuse of licensed decks, testimonials, approved report material and live recordings is permitted for 24 months, through 31 October 2028. Materials already lawfully published may remain in a historical archive for three years from programme closure, through 31 October 2029, with annual necessity review. These periods run from the same closure date: the archive is not an additional three years after the promotional period. Archival permission does not authorize new campaigns or fresh promotional distribution after 31 October 2028. New permissions are needed for uses outside this scope or period.

At expiry, controlled copies are removed or anonymized unless a further specific permission or independently applicable legal basis supports a stated use. Private analytical files follow the separate twelve-month period in section 8; retained public-use deck or approved testimonial assets are segregated and retained only for their authorized use. A pending prize or dispute does not extend all participants' permissions.

Individuals may withdraw consent for future consent-based processing and exercise applicable privacy/image rights. Contact privacy@evallens.io; EvalLens will coordinate an affected Yellow request where required. Each publisher must act on material it controls. Independent reposts cannot be guaranteed to disappear, but that does not remove the publishers' own duties. Withdrawal does not make earlier lawful processing unlawful.

6.1 Optional contribution to EvalLens model development

Separate choice, not an entry condition. The Team may separately opt in to contributing specified materials to model development by Individual Entrepreneur Yaroslav Volovyi operating as EvalLens. General acceptance of these Terms, Google sign-in, public posting, broadcast permission, testimonial permission or receipt of the report does not give this training permission. Refusal or withdrawal has no effect on the report, entry, live selection, judging, prizes or investor introductions. The permission does not apply retroactively to an earlier submission, and a replacement file or later transcript is not included until separately identified and authorized. Training contributions and opt-in status must not influence this Event's scoring or selection. The current competition's scoring models must not be trained or fine-tuned on these optional contributions before its results are finalized; development datasets are kept separate from competition administration.

Materials and purpose. The grant covers only the deck version and/or cleaned text transcript expressly selected in the training control. For a deck it covers text and project diagrams/charts for which the Team has rights, not embedded personal photographs or third-party assets without the necessary rights. For a transcript it covers the authorized speaker's project pitch and, if separately selected, that speaker's own Q&A answers; judges' questions and other people's contributions are excluded. EvalLens may extract, format, redact and annotate the authorized content and create internal training, validation and test datasets to develop, train, fine-tune and evaluate models for understanding startup pitches, assessing project evidence and producing pitch feedback and preparation questions. EvalLens-created labels for this purpose must be derived only from authorized material. Actual jury scores, judges' feedback, private analytical reports, support messages, contact/account fields, raw audio/video, voices and faces are not included by default. Reuse of those excluded categories or a materially different model purpose requires a separately defined rights and privacy arrangement before use.

Content licence and commercialization. Within the granting party's rights, the Team grants EvalLens a non-exclusive, worldwide, royalty-free licence to reproduce, transform and use the selected content for the above development operations during the source-use period below. The Team retains its source-material rights. EvalLens may operate resulting models in its own commercial software and services, including paid subscriptions and APIs. Participation in training does not entitle the Team to payment, royalties, revenue share or ownership of models or independently created improvements; no ownership of the Team's original content is transferred. This grant does not authorize selling or publishing a pitch dataset, providing a searchable archive of the source decks as a model feature, or publicly releasing trained weights under this contribution programme. Other third-party/base-model licences remain applicable.

People and confidential information. A project-content licence is not consent on behalf of people mentioned in the source. The actual person choosing the training control separately and specifically consents, within that control, to processing their own limited professional information that remains in the displayed authorized material for this training purpose. Another representative cannot consent for a speaker, employee, customer or judge. Before entry into a training dataset, unnecessary identifiers, third-party personal data, sensitive data, credentials and confidential material must be excluded; any preparatory processing itself needs a lawful basis. Redaction or pseudonymisation alone is not proof of anonymity. Training must not begin with unresolved personal-data or rights issues.

EvalLens and contractors only. EvalLens may use staff and disclosed contracted processors acting only on its documented instructions to carry out this work, including hosting a private fine-tune of a licensed base model. That is different from permitting the contractor, base-model vendor, Yellow or another partner to train its own independently used model. No such independent right is granted. The actual training recipients, relevant countries and transfer arrangements must be disclosed before the option is enabled. Contractors must be bound to the authorized purpose and applicable confidentiality, deletion and data-protection arrangements.

Source-use period. Authorized training copies, extracted examples, validation/test datasets and source-specific derived training records may be used for new training or evaluation runs from the recorded opt-in until 31 October 2027, or earlier withdrawal. Source-derived examples may not be retained for fresh runs beyond that date merely by removing names. A renewal requires a fresh specific choice. These copies must then be deleted, subject only to limited lawfully required evidence, legal holds and disclosed restricted backup expiry; expired or withdrawn examples must not re-enter training on restore. The 24-month promotional period and three-year public archive do not extend this training period.

Already trained models. Subject to the personal-data and source-rights limits below, EvalLens may continue commercial operation and use of learned parameters and improvements lawfully produced during the authorized period without a fixed contractual end date or royalties. This surviving model-use permission does not permit retaining or reproducing the underlying decks, transcripts or protected source passages beyond their licence, or retaining personal data simply by calling it a model. Before continued use after expiry or withdrawal, EvalLens must assess and document whether a model retains or can reveal the affected personal data or protected source content and which measures are required. Continued consent-based processing of personal data cannot rely on withdrawn consent; no automatic switch to another legal basis is made to defeat withdrawal. Where necessary, relevant deployment must be restricted or suspended while appropriate measures, including data removal, retraining or unlearning, are taken. No model is presumed anonymous and no instant-unlearning capability is represented as implemented.

Withdrawal and records. The Team may end future source use, and the individual may withdraw their personal training consent, through the training preference control or privacy@evallens.io without a participation penalty. New use of affected examples must stop, pending jobs must be blocked or adjusted, processors must be notified and affected datasets and models must be traced. The response explains actions concerning the source and already trained models, applying statutory deadlines and rights. Earlier lawful training is not made unlawful by withdrawal, but this is not an exemption from ongoing data-protection obligations. Only minimal permission, asset/version, withdrawal and remediation evidence is retained under section 8, not the full source dataset.

7. Investor introductions and promotional choices

The Operator may help the Team connect with relevant venture funds, investors and ecosystem partners. The form offers an optional request to receive introduction proposals. That request allows EvalLens to contact the Representative about a proposed connection; it does not authorize distribution to an unidentified list. Before sharing, EvalLens identifies the intended recipient and supplies the proposed pitch/profile, named contact fields, purpose and recipient privacy information for the Representative's approval. A recipient may instead be selected from a specifically named list with that information at the time of application. Only the approved version and fields are shared; the full private report is excluded unless separately authorized. Refusing introductions does not affect validation, the private report or selection. Approval of an introduction does not subscribe the contact to the recipient's newsletter or authorize unrelated marketing.

The Representative can stop future introduction proposals or sharing through their preferences or privacy@evallens.io. Withdrawal does not undo lawful prior sharing; EvalLens will notify affected recipients where required, and explain how the Representative can exercise rights with those recipients. Recipients may retain information only where their own lawful grounds permit it.

The form provides a separate, unchecked personal permission for EvalLens and Yellow Global Limited to publish the individual's feedback expressly submitted for testimonial use, with the name, role and separately selected photo or recording. It specifies the purposes and the 24-month publication/three-year archive periods in section 6. The person need not approve each faithful quotation again within that defined scope. Approval of precise analytical report content remains separate. If another person submitted the application, the testimonial author grants their own permission. Refusal does not affect the private report, selection, scores or prizes. Permission may be withdrawn for future consent-based use. A materially different purpose, content outside the permission or a new publisher requires further authorization.

Sponsor placement does not purchase access to private decks, contact lists, reports, training datasets or preferential scoring. A sponsor-nominated judge requires organizer approval, conflict checks and receives only one ordinary judge score.

7.1 Event communications and requested follow-up

EvalLens may email the application contact about submission confirmation, corrections, review/report delivery, selection, preparation, joining instructions, results, prize administration and resolution of Event issues. These messages are limited to administering this edition and contain no unrelated sales offers. They are explained as necessary Event communications, not as a marketing subscription. The Team can request a conversation about its report or Event experience; EvalLens may respond within that request. A future event invitation, product offer or commercial collaboration pitch is marketing and follows the choices below.

7.2 Optional newsletters and commercial contact

The Representative may separately subscribe to EvalLens email updates about its products, founder programmes, future events and collaboration opportunities. The sender is Individual Entrepreneur Yaroslav Volovyi operating as EvalLens. A distinct, unchecked choice is required for Yellow email updates, identifying the actual legal sender and linking its privacy notice before consent is collected or data is transferred. The materials permission for Yellow Global Limited is not consent to a newsletter. A subscription to either sender does not subscribe the person to the other sender or to sponsors.

These choices are optional, unchecked by default, and do not influence selection, scores, the report or prizes. Each marketing email identifies its sender and includes a free, simple unsubscribe link that does not require account sign-in. Marketing stops after withdrawal; necessary communications about an ongoing application or prize can continue for their stated purpose. Minimal suppression records may be retained to respect the opt-out, with a documented retention period and lawful basis. The service must check current preferences before dispatch and cancel pending marketing messages when a choice is withdrawn.

Email permission does not authorize Telegram, WhatsApp, LinkedIn or telephone marketing. A Representative may provide and choose another channel for a requested conversation; the invitation and channel selection must be recorded. Event acceptance or Google sign-in does not authorize importing an address book, adding someone to a group or initiating an automated social-network connection.

Yellow marketing is offered only through a separately identified sender and privacy notice, with its own optional consent. Unless that option is actually presented and selected, no Yellow subscription or subscriber-data transfer takes place. A newsletter subscription does not itself authorize tracking pixels or marketing profiling.

8. Personal data and privacy

The Operator processes Google sign-in identity, application details, contact information, deck content, evaluation and status information to administer the programme and provide the report. The Event Privacy Notice, available alongside these Terms before submission, explains the purposes, legal bases, recipients, roles, international transfers, retention and applicable rights. It supplements the platform Privacy Policy. Public Event use, optional introductions, promotion and optional model training are limited as described in these Terms; acceptance is not universal consent to unrelated processing. Model development is a separate optional purpose governed by section 6.1, not a necessary part of delivering the entrant's report.

Private analytical copies of decks, reports and raw evaluation data are removed or effectively anonymized by 31 October 2027, unless earlier removal is required or a documented lawful exception applies. Published results and recordings follow section 6, not the private-report retention rule. Separately authorized training copies and source-derived examples also expire on 31 October 2027 or earlier withdrawal under section 6.1; surviving use of compliant trained models is distinguished from retention of those sources. Minimal training-permission records are kept while necessary to evidence continuing permitted model use, reviewed annually, and for up to three years after that use or a related dispute obligation ends; this evidentiary purpose does not justify keeping pitch content. Requested introduction proposals end ninety days after programme closure unless the person separately renews the request; ongoing individually approved introductions may be completed. EvalLens marketing permission is reviewed and expires no later than twenty-four months after the last affirmative subscription or renewal, unless withdrawn sooner; email opens do not restart that period. Minimal acceptance, permission and dispute evidence is retained for up to three years after the relevant participation obligation or permission ends, only while necessary and subject to applicable legal retention requirements. This evidence period is separate from the public archive: evidence of a permission ending on 31 October 2029 may be needed until 31 October 2032, but only to the extent necessary for that record. It is not an automatic extension of publication or general data retention and does not justify retaining every deck or report. Opt-out identifiers are held only to enforce suppression while the relevant marketing system operates, with annual necessity review. Limited legal holds are segregated and deleted when the reason ends. Backup and security-log retention must be disclosed in the applicable platform notice for the actual services used; no unverified numeric deletion cycle is specified here. Restored data remains subject to applicable deletion and opt-out requirements. Privacy requests: privacy@evallens.io.

9. Withdrawal, changes and cancellation

A Team may withdraw from selection or the live programme by emailing legal@evallens.io. Withdrawal before the review deadline ends its candidacy; if work has already been performed, the Team may still receive the available report. Withdrawal after a live invitation may allow a reserve Team to take the place. Withdrawal does not automatically undo analysis already performed, broadcasts already made or materials already lawfully published; privacy and image-right requests are assessed separately.

EvalLens may adjust online-programme timing, technical procedures or guest lineup for operational reasons. The separate local host controls changes to the villa gathering and its venue. A material change to eligibility, data use, judging, prize terms or the Team's obligations must be communicated before it takes effect; where a new acceptance or choice is required, the Team will be asked to make it. EvalLens may postpone or cancel the online Event if production or safety conditions require it and will notify affected Teams; the local host handles its own gathering under its disclosed terms. The Team will not be charged an Event entry fee. Cancellation does not automatically extend content permissions or erase already accrued rights.

10. Risk allocation, exclusions and limitation of liability

10.1 Free participation; no commercial-result guarantee. Participation is voluntary and free. The Team makes its own business, fundraising, disclosure and participation decisions and is responsible for its own travel, equipment, preparation and other voluntary costs, except where expressly agreed otherwise. Neither EvalLens nor Yellow guarantees selection, a particular score, an award, funding, investment, commercial introductions or conversion, audience size, uninterrupted transmission, token price, trading profit, liquidity or listing. Reports, AI commentary and judges' opinions are informational, may be incomplete or mistaken, and are not professional advice or an endorsement. The Team must independently assess them before acting. These disclaimers do not cancel an express entitlement to a report or confirmed prize under the published rules.

10.2 Submitted materials and permitted publication. The Team is responsible for the truthfulness of its claims, the authority to submit materials and permission from relevant rightsholders, and for removing confidential or inappropriate content before submission. Within the scope of the clearly disclosed licence, neither EvalLens nor Yellow owes the Team a publication fee or compensation merely because the Team's designated submitted deck, pitch, name, logo or authorized recording is shown in the Event or its permitted recap. The submitted-deck licence also applies to non-live applicants. It does not authorize publishing private form contacts or an unapproved analytical report, exceeding the licence, or ignoring personal-data or image rights.

10.3 Separate partner and local-host responsibilities. Yellow does not assume EvalLens's platform, assessment, admission, scoring-administration or online-production obligations. EvalLens does not operate or guarantee the Yellow or R2Copilot prize services; the identified provider is responsible under section 5 and its service agreement. The villa's actual local host, arranged through Pedro, handles the physical venue, guest admission, accommodation if offered, on-site services and safety. EvalLens does not supply those services or reimburse their costs merely because the gathering is associated with the online programme. Local-host terms must identify the actual contracting host; these Terms do not invent or impose a personal undertaking on Pedro. Each party remains responsible for its own express undertakings and legally attributable acts. Neither a brand label nor outsourcing displaces statutory responsibility.

AI-output risk. To the fullest extent permitted by law and subject to section 10.6, EvalLens and Yellow disclaim warranties of accuracy, completeness, fitness for a business purpose and commercial usefulness of automated reports, commentary and AI scores, and exclude liability for loss arising from reliance on such outputs. Participants must independently verify material facts and obtain their own professional advice. This is not permission for unlawful publication, intentional falsehoods or disregard of mandatory correction, privacy or other rights. EvalLens remains responsible for administering its stated moderation and scoring procedures, not for guaranteeing that AI will never make an error.

10.4 Excluded losses and external disruption. Subject to section 10.6 and to the fullest extent permitted by applicable law, neither EvalLens nor Yellow is liable in connection with this free Event for indirect or consequential loss, lost profit or revenue, lost investment or commercial opportunity, anticipated savings or goodwill. Neither guarantees performance of independent networks, streaming platforms or other third-party services. To the extent permitted by law, neither owes compensation for reasonable rescheduling, format changes or cancellation necessitated by circumstances beyond its reasonable control, such as venue closure, network outage or safety restrictions, or for voluntary participation costs not expressly accepted in writing. Reasonable notice and mitigation remain required where applicable. Merely outsourcing a task does not remove liability imposed by law for one's own providers, conduct or data processing.

10.5 Limit on direct-loss liability. Where liability for a direct loss cannot validly be excluded but may legally be limited, each party's aggregate liability to a Team for claims arising from this free Event is limited to USD 100, subject to section 10.6. This limit does not apply to a separately contracted prize service, the supplying provider's obligation to deliver its expressly confirmed prize, or any liability that cannot lawfully be limited. It does not make EvalLens the provider or guarantor of a partner prize. For claims specifically concerning participation in this Event, this section takes precedence over a different general platform liability limit; the mandatory exceptions below always apply.

10.6 Mandatory exceptions and rights. None of these terms excludes or limits liability for fraud, intentional misconduct, gross negligence, death or personal injury caused by negligence, or any other liability to the extent exclusion or limitation is prohibited by applicable law. Nothing waives mandatory data-protection remedies, applicable consumer rights, rights of third-party rightsholders, or the right to approach a competent authority or court. A Team's acceptance cannot waive another individual's rights. If a limitation is invalid, the remaining provisions operate only to the extent legally permissible; this severability clause does not guarantee that an overbroad exclusion will be rewritten or enforced.

10.7 Governing law and disputes. These Terms and the participation agreement with EvalLens are governed by Georgian law, without excluding mandatory protections that apply irrespective of that choice. Subject to mandatory jurisdiction rules, disputes concerning that agreement may be brought before the competent courts of Tbilisi, Georgia. A separate Yellow service agreement may specify its own law and forum. Contact legal@evallens.io to seek informal resolution; this does not prevent urgent relief, complaints to a competent authority or exercise of mandatory rights, and does not shorten any applicable legal limitation period.
